Terms of Service

These Terms govern access to and use of otom8 websites, managed automation services, connected-app workflows, and platform features.

Agreement

These Terms of Service govern your access to and use of otom8 websites, managed automation services, software, workflows, integrations, support, and related offerings. By accessing or using otom8, creating an account, accepting an order form, or otherwise using the services, you agree to these Terms.

If you use otom8 on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, 'you' and 'Customer' refer to the organization. If you do not have authority or do not agree to these Terms, you must not use otom8.

If a separate written agreement or order form signed by otom8 applies to your use of the services, that agreement controls to the extent it conflicts with these Terms.

Accounts And Workspaces

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, workspace, projects, API keys, connected accounts, and automations.

You must provide accurate account information and keep it current. You are responsible for configuring user roles, permissions, workspace membership, and connected services appropriately for your organization.

If you register using an email address provided by your employer or organization, your account or workspace may be associated with that organization, and the organization may request administrative control over the account or related workspace data where legally and contractually permitted.

Subscriptions, Orders, And Payment

Paid services may be purchased through a website checkout, subscription plan, statement of work, order form, or other written arrangement. Order documents may specify fees, subscription term, scope, usage limits, service levels, renewal terms, support, and other commercial terms.

Unless an order states otherwise, fees are due when invoiced or at checkout, are exclusive of taxes, and are non-refundable except where required by law or expressly stated in writing. You are responsible for taxes, duties, and similar charges imposed on your purchase or use of the services.

Subscriptions may automatically renew unless either party gives notice of non-renewal in the manner and timeframe stated in the applicable order or subscription settings. We may suspend access for late payment, excessive usage, security risk, or material breach.

Free, beta, preview, trial, or evaluation features may be limited, changed, suspended, or discontinued at any time and are provided without warranties, service commitments, or indemnity obligations to the fullest extent permitted by law.

Use Of Otom8

Subject to these Terms and your applicable order, otom8 grants you a limited, non-exclusive, non-transferable, revocable right to access and use the services for your internal business purposes.

You may not use otom8 to violate law, infringe rights, transmit malware, send spam, bypass security controls, scrape or overload systems, access data without authorization, impersonate others, or interfere with the operation of otom8 or third-party services.

You may not resell, sublicense, rent, lease, provide service bureau access, reverse engineer non-public components, copy protected features or interfaces, or use otom8 to build a competing product or service except to the extent such restriction is prohibited by law.

You are responsible for all instructions, workflows, automations, prompts, files, credentials, connected apps, and data submitted through your account or workspace, including actions taken automatically by workflows you configure or request.

Connected Services And Third-Party Platforms

Otom8 can connect to third-party services at your direction, including Google services and other applications used by your business. Your use of those services remains subject to their own terms, policies, permissions, rate limits, and availability.

You authorize otom8 to access, process, store, and transmit information from connected services as necessary to provide the workflows, integrations, and automations you configure or request.

You are responsible for ensuring that you have the right to connect each third-party account, grant the requested scopes, process the connected service data, and instruct otom8 to perform actions in those services.

Third-party services may change, suspend, or revoke access to APIs, scopes, webhooks, or accounts. Otom8 is not responsible for failures caused by third-party services, revoked permissions, provider outages, changed APIs, or inaccurate data supplied by third parties.

Customer Content And Data

You retain ownership of content, data, files, workflow definitions, instructions, and other materials that you or your users provide to otom8. You grant otom8 the rights needed to host, process, transmit, display, modify, and use Customer Content solely to provide, secure, support, maintain, and improve the services.

You represent that you have all rights, permissions, and consents needed for otom8 to process Customer Content and connected service data in accordance with your instructions and these Terms.

You are responsible for reviewing workflow behavior, outputs, automated actions, and permissions before using them in production or relying on them for business decisions.

AI And Automation Outputs

Otom8 may use automation logic, third-party APIs, and AI-assisted features to help route information, transform data, draft content, classify records, trigger actions, or support business workflows.

Outputs may be incomplete, inaccurate, delayed, or unsuitable for a particular purpose. You are responsible for reviewing outputs and determining whether they are appropriate for your use case, especially where workflows affect customers, finances, legal obligations, healthcare, employment, or other sensitive matters.

You must not use otom8 to make fully automated decisions with legal or similarly significant effects unless you have implemented required human review, notices, consents, and safeguards.

Support, Monitoring, And Managed Services

If your plan or order includes implementation, monitoring, maintenance, or support, otom8 will provide those services according to the applicable written scope. Unless expressly agreed otherwise, support does not include custom development, guaranteed response times, or remediation of issues caused by third-party systems outside our control.

We may access workflow configuration, logs, execution history, error reports, connected app metadata, and relevant Customer Content to troubleshoot issues, maintain reliability, improve workflows, and provide support at your request or as part of managed services.

Confidentiality

Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood to be confidential. The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care.

Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed, rightfully received from a third party, or required to be disclosed by law or court order.

Security

We use reasonable technical and organizational measures designed to protect the services and Customer Content. You are responsible for securing your users, devices, credentials, connected accounts, permissions, and network environments.

You must promptly notify us at support@otom8.us if you believe your account, workspace, connected app, token, API key, or automation has been compromised.

Service Changes And Availability

We may modify, suspend, or discontinue features as we improve the services, address security or legal requirements, respond to third-party provider changes, or manage operational needs. We will try to provide reasonable notice when changes materially affect active customers.

We do not guarantee that the services will be uninterrupted, error-free, or available at all times unless a separate written agreement states otherwise.

Term And Termination

These Terms remain in effect while you use otom8 or have an active account, subscription, order, or workspace. Either party may terminate as provided in an applicable order or written agreement.

We may suspend or terminate access if you materially breach these Terms, fail to pay fees, create security or legal risk, misuse the services, or if continued service would violate law or third-party provider requirements.

After termination, your right to use the services ends. Certain provisions, including payment obligations, confidentiality, ownership, disclaimers, limitations of liability, and dispute provisions, survive termination.

Ownership

Otom8 and its licensors retain all rights, title, and interest in the services, software, designs, workflows, templates, technology, documentation, trademarks, and other materials we provide, excluding Customer Content.

Feedback, suggestions, or ideas you provide may be used by otom8 without restriction or obligation to you.

Disclaimers

Except as expressly stated in a separate written agreement, otom8 is provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that automations, integrations, AI-assisted features, outputs, third-party services, or connected app data will be accurate, complete, secure, uninterrupted, or error-free.

Limitation Of Liability

To the fullest extent permitted by law, otom8 will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, business opportunities, or business interruption.

To the fullest extent permitted by law, otom8's total liability for all claims related to the services will not exceed the amounts paid by you to otom8 for the services giving rise to the claim during the twelve months before the event giving rise to liability, or one hundred dollars if you have not paid for the services.

Indemnity

You will defend, indemnify, and hold harmless otom8 from and against claims, damages, liabilities, losses, and expenses arising from your Customer Content, your connected services, your workflows and instructions, your violation of these Terms, your misuse of the services, or your violation of law or third-party rights.

Changes To These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, sending email, or using other reasonable methods. The updated Terms become effective when posted unless a later date is stated.

Your continued use of otom8 after updated Terms become effective means you accept the updated Terms.
